1. Introduction
Welcome to the websites, applications, portals, technology platforms, and services operated, administered, or supported by Secure Medical, Inc. ("Secure Medical," "SMI," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of services made available through Secure Medical, including technology services, administrative services, telemedicine and telehealth access, healthcare-provider connectivity, payment processing, prescription fulfillment coordination, over-the-counter products, and related services (collectively, the "Services").
By accessing or using the Services, creating an account, submitting information, requesting a telemedicine consultation, or purchasing products or services, you agree to these Terms and any additional policies presented to you in connection with a particular Service.
Certain websites, brands, healthcare providers, pharmacies, or business partners utilizing Secure Medical technology may have additional terms, policies, notices, or consents that apply to their respective services.
2. Secure Medical's Role
Secure Medical provides technology, administrative, operational, payment-processing, and other support services used to facilitate access to telemedicine, healthcare, pharmacy, and related services.
Unless expressly stated otherwise, Secure Medical is not the healthcare provider responsible for diagnosing your medical condition, determining whether treatment is medically appropriate, prescribing medication, or exercising professional medical judgment. Medical services are provided by appropriately licensed healthcare providers and/or professional medical entities.
Healthcare providers utilizing the Secure Medical platform exercise independent professional judgment. Secure Medical does not direct or control a healthcare provider's diagnosis, treatment recommendation, prescription decision, or other clinical decision.
Prescription medications are dispensed by appropriately licensed pharmacies. Secure Medical is not the dispensing pharmacy unless expressly identified as such.
3. Eligibility and Geographic Availability
You must be at least 18 years of age, or the age of majority applicable in your jurisdiction, to independently use the Services unless a particular Service expressly permits treatment of a minor with appropriate parent or guardian authorization.
Services are available only in jurisdictions where they may lawfully be provided. Certain Services, medications, products, providers, or pharmacies may not be available in every state.
For telemedicine services, you must accurately disclose your physical location at the time of each healthcare encounter. Healthcare services may only be provided when the treating healthcare provider is legally authorized to provide such services to a patient located in your jurisdiction.
4. User Accounts and Accurate Information
You may be required to establish an account to use certain Services. You are responsible for maintaining the confidentiality of your username, password, and other account credentials and for activity occurring through your account.
You agree to provide truthful, accurate, current, and complete information, including information concerning your identity, age, physical location, health history, allergies, medications, symptoms, medical conditions, and other information requested in connection with healthcare services.
You agree not to impersonate another person, submit healthcare information on behalf of another person without authorization, or provide false or misleading information to a healthcare provider.
5. Telemedicine and Telehealth Services
Secure Medical technology may facilitate healthcare services delivered remotely through telemedicine or telehealth. Depending upon applicable law, the nature of the medical condition, and the healthcare provider's professional judgment, an encounter may involve interactive communications, audio or video technology, electronic medical information, asynchronous communications, store-and-forward technology, questionnaires, photographs, medical records, or other appropriate technologies.
Telemedicine has potential benefits, including convenient access to healthcare, but it also has limitations. A healthcare provider may determine that telemedicine is not appropriate for your medical condition and may recommend or require an in-person examination, laboratory testing, diagnostic testing, emergency care, specialist consultation, or other healthcare services.
By voluntarily requesting a telemedicine or telehealth encounter, you consent to receiving healthcare services through electronic and telecommunications technologies as permitted by applicable law. You understand that technical failures, interruptions, limitations in transmitted information, or the inability to perform a physical examination may affect a telemedicine encounter.
You may ask questions about the telemedicine process before or during an encounter. Where required by law, additional telemedicine consent may be obtained electronically, verbally, or in writing.
6. Establishment of the Provider-Patient Relationship
A request for treatment, completion of an online medical questionnaire, creation of an account, submission of payment, or submission of medical information does not by itself guarantee that a provider-patient relationship has been established or that treatment or a prescription will be provided.
The treating healthcare provider is responsible for determining whether sufficient information exists to establish an appropriate provider-patient relationship and whether telemedicine is appropriate for the particular encounter.
The healthcare provider may request additional information, identification, medical records, photographs, laboratory testing, video or audio communication, an in-person examination, or other information before making a clinical decision.
7. Healthcare Provider Independence
All diagnoses, treatment decisions, prescription decisions, referrals, follow-up recommendations, and other clinical decisions are made by the treating licensed healthcare provider based upon the provider's professional judgment and applicable standards of care.
Secure Medical does not guarantee that a healthcare provider will diagnose a particular condition, recommend a particular treatment, or prescribe any medication requested by a patient.
A healthcare provider may decline treatment or may discontinue a telemedicine evaluation when the provider determines that telemedicine is not clinically appropriate, additional information is necessary, or an in-person evaluation or other medical care is required.
8. New Jersey Telemedicine and Telehealth Disclosures
If you are physically located in New Jersey at the time healthcare services are provided, additional requirements under New Jersey law may apply.
Provider Licensure. Healthcare services provided to a patient located in New Jersey through telemedicine or telehealth will be provided by a healthcare professional who is appropriately licensed, certified, or registered to provide the applicable professional services in New Jersey as required by law.
Patient Identification. You may be required to provide information necessary to verify your identity, including your name, date of birth, telephone number, address, and other appropriate identifying information.
Provider Identification. Information identifying the healthcare provider, including the provider's professional credentials and appropriate contact information, will be made available as required by New Jersey law.
When available at the time of scheduling, provider information may be provided at that time. Otherwise, applicable provider information may be provided upon confirmation of the telemedicine or telehealth encounter and will remain available during and following the provision of services as required by law.
Where required under New Jersey law, contact information will enable a patient to contact the healthcare provider, or an authorized substitute healthcare provider acting on the provider's behalf, for at least 72 hours following the provision of services.
Physician Request. If a New Jersey telemedicine or telehealth encounter may be provided by a healthcare professional who is not a physician, you will be advised as required by applicable law. Where New Jersey law provides you with the right to request that an encounter be scheduled with a physician, such a request will be accommodated in accordance with applicable law.
Medical History and Records. The treating healthcare provider will review the medical history and available medical information required for the encounter and will determine whether telemedicine or telehealth can appropriately meet the applicable standard of care.
Standard of Care. Telemedicine and telehealth services are subject to the applicable professional standard of care. If the healthcare provider determines that the appropriate standard of care cannot be satisfied through telemedicine or telehealth, you may be directed to obtain an in-person examination or other medical services.
Asynchronous Services. Where permitted by New Jersey law, asynchronous or store-and-forward technology may be utilized when the healthcare provider determines, after reviewing appropriate medical information, that the applicable standard of care can be satisfied using that method and provides any disclosure required by law.
Medical Records. Information concerning a telemedicine or telehealth encounter will be documented in the patient's medical record as required by applicable law.
Upon your request and subject to applicable authorization requirements, medical information from a telemedicine or telehealth encounter may be transmitted to your primary care provider, healthcare provider of record, or another healthcare provider identified by you.
Follow-Up and In-Person Care. When clinically appropriate, the treating healthcare provider may recommend or refer you for follow-up treatment, in-person medical care, emergency care, specialist care, diagnostic testing, or other healthcare services.
Choice of Telemedicine. Telemedicine is not appropriate for every condition. Nothing in these Terms requires you to use telemedicine when in-person healthcare is available to you.
9. Prescription Medications
Prescription medications are available only when prescribed by an appropriately licensed healthcare provider following a medical evaluation that satisfies applicable federal and state requirements and the applicable professional standard of care.
Completing an online questionnaire, requesting a medication, making a payment, or previously receiving a medication does not guarantee that a prescription will be issued or renewed.
A prescription will be issued only when the treating healthcare provider independently determines that the medication is medically appropriate for you.
You agree to provide complete and accurate information regarding your medical history, current medications, allergies, health conditions, prior treatments, and other information requested by the treating healthcare provider.
Prescriptions may be transmitted electronically to an appropriately licensed pharmacy. Pharmacy availability, medication availability, formulation, pricing, dispensing decisions, substitutions, and shipping may be subject to separate pharmacy terms and applicable pharmacy law.
Compounded medications, when prescribed, are prepared by appropriately licensed compounding pharmacies pursuant to applicable law. Compounded medications are not FDA-approved products and are not reviewed by the FDA for safety, effectiveness, or manufacturing quality before marketing in the same manner as FDA-approved drugs.
10. Controlled Substances and Restricted Medications
Telemedicine prescribing is subject to federal and state laws governing controlled substances and other restricted medications. Certain medications may require an in-person examination, additional verification, diagnostic testing, periodic follow-up, or may not be available through the Services.
Nothing on a Secure Medical platform should be interpreted as a promise or guarantee that a controlled substance or any particular medication will be prescribed.
11. Over-the-Counter Products and General Website Information
Certain Services may include access to over-the-counter products, supplements, wellness products, medical devices, or other non-prescription products.
General information appearing on a website, product page, article, advertisement, email, or other non-clinical portion of the Services is provided for informational purposes and is not a substitute for individualized medical advice from a licensed healthcare professional.
You should follow product labeling and consult an appropriate healthcare professional when you have questions concerning whether a particular product is appropriate for you.
12. Emergency Medical Conditions
THE SERVICES ARE NOT INTENDED FOR MEDICAL EMERGENCIES.
If you believe you are experiencing a medical emergency, call 911 or seek immediate treatment from the nearest emergency department.
Do not use an online questionnaire, email, text message, patient portal, or telemedicine request as a substitute for emergency medical care.
13. Payment, Billing, and Refunds
Secure Medical may provide payment-processing and administrative billing services in connection with healthcare providers, pharmacies, products, and other Services.
By providing a payment method, you authorize the applicable charges disclosed to you before purchase. Charges may include healthcare consultation fees, administrative fees, medication or pharmacy charges, product charges, shipping charges, membership charges, or other amounts disclosed before you complete the transaction.
Where Secure Medical collects funds in connection with services furnished by healthcare providers, pharmacies, or other third parties, Secure Medical may collect and process such payments on behalf of those parties as permitted by applicable law and contractual arrangements.
Billing disputes should be reported promptly and, where practicable, within 30 days of the transaction.
Refund eligibility is governed by the Refund Policy applicable to the particular Service, product, consultation, pharmacy transaction, or platform through which your transaction occurred.
14. SMS, Telephone, and Electronic Communications
By providing your telephone number, email address, or other electronic contact information, you authorize Secure Medical and parties involved in providing the Services to send communications relating to your account, healthcare request, consultation, prescription, pharmacy order, payment, delivery, security, customer service, and other transactional matters as permitted by law.
Transactional communications may include automated telephone calls, text messages, emails, or similar communications where permitted by applicable law.
Marketing and promotional communications will be sent only in accordance with applicable consent requirements. Where separate consent is required for marketing communications, your consent to receive marketing messages is not a condition of purchasing healthcare services, medications, or other products.
You may opt out of marketing SMS messages by replying STOP. You may reply HELP for assistance where supported. Message and data rates may apply. The frequency of messages may vary.
Opting out of marketing communications will not prevent communications that are necessary to administer an existing transaction, provide requested healthcare services, provide legally required notices, address security issues, or otherwise communicate with you where permitted by law.
15. Privacy and Medical Information
Secure Medical and the healthcare providers, professional medical entities, pharmacies, and other organizations participating in the Services maintain privacy and security practices in accordance with the laws applicable to their respective activities.
Our collection, use, maintenance, and disclosure of personal information is further described in the applicable Privacy Policy and, where applicable, Notice of Privacy Practices.
Healthcare records and protected health information may be subject to additional federal and state protections, including the Health Insurance Portability and Accountability Act ("HIPAA") and other privacy laws, to the extent such laws apply to the particular entity, information, or transaction.
16. Third-Party Healthcare Providers, Pharmacies, and Services
The Services may involve independent healthcare providers, professional medical entities, pharmacies, laboratories, payment processors, shipping providers, technology providers, and other third parties.
Those parties may be subject to separate professional obligations, privacy notices, terms, policies, licensing requirements, and legal responsibilities.
Secure Medical is not responsible for the independent professional judgment of a healthcare provider or the independent professional dispensing decisions of a licensed pharmacy.
17. Intellectual Property
Unless otherwise indicated, software, technology, designs, text, graphics, logos, trademarks, user interfaces, databases, and other proprietary materials made available by Secure Medical are owned by Secure Medical or its licensors and are protected by applicable intellectual property laws.
You may not reproduce, modify, distribute, reverse engineer, scrape, commercially exploit, or use Secure Medical proprietary materials except as expressly permitted in writing or as permitted by applicable law.
18. Prohibited Activities
You agree not to misuse the Services. Prohibited activities include, without limitation:
- Providing false or fraudulent identity or medical information;
- Obtaining or attempting to obtain medication through fraud or misrepresentation;
- Using another person's account without authorization;
- Attempting to gain unauthorized access to systems, accounts, medical records, or data;
- Introducing malicious software, code, bots, or automated attacks;
- Scraping or extracting data without authorization;
- Interfering with the operation or security of the Services;
- Reselling prescription medications or using Services for unlawful purposes; or
- Violating any applicable federal, state, or local law.
19. Availability of Services
Secure Medical does not guarantee that every Service, healthcare provider, pharmacy, product, or medication will be available at all times or in every jurisdiction.
Services may be modified, suspended, restricted, or discontinued based upon provider availability, pharmacy availability, legal or regulatory requirements, technology limitations, patient eligibility, clinical considerations, or other operational requirements.
20. Disclaimers
Except for healthcare services actually provided to you by a licensed healthcare provider, general website content is not intended to establish a provider-patient relationship and should not be relied upon as individualized medical advice.
No information displayed through the Services constitutes a guarantee of diagnosis, treatment outcome, prescription approval, medication availability, or medical result.
Nothing in these Terms limits the professional responsibilities of a licensed healthcare provider or any rights that cannot lawfully be waived under applicable law.
21. Limitation of Liability
To the fullest extent permitted by applicable law, Secure Medical will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from use of the non-clinical technology or administrative Services.
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law, nor is anything in these Terms intended to alter the professional standard of care applicable to a healthcare provider.
22. Dispute Resolution and Governing Law
Except where prohibited by applicable law, disputes arising from or relating to these Terms or Secure Medical's non-clinical Services will be resolved through binding arbitration on an individual basis in accordance with the applicable rules of the American Arbitration Association.
To the fullest extent permitted by law, you and Secure Medical agree that disputes will be pursued individually and not as a plaintiff or class member in a purported class, consolidated, or representative proceeding.
These Terms will be governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except that this provision does not deprive a consumer or patient of protections that cannot lawfully be waived under the laws of the state in which the consumer or patient is located.
Nothing in this section prevents either party from bringing an eligible matter in small claims court or seeking emergency injunctive relief where permitted by law.
23. State-Specific Requirements
Healthcare and telemedicine laws vary by state. Additional disclosures, consent requirements, provider requirements, prescribing restrictions, privacy protections, or other terms may apply based upon your physical location and the healthcare service requested.
If a provision of these Terms conflicts with a mandatory requirement of applicable state or federal healthcare law, the applicable legal requirement will control to the extent of the conflict.
24. Changes to These Terms
Secure Medical may revise these Terms from time to time to reflect changes in our Services, technology, business operations, or applicable law.
The updated Terms will be posted with a revised "Last Updated" date. Where required by law, additional notice or consent will be provided before materially revised terms become effective.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
25. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
